GREYVITA TERMS OF SERVICE & CONDITIONS OF SALE

These Terms of Service and Conditions of Sale (“Terms”) govern access to GreyVita.com (the “Site”) and the purchase and use of products and services offered by GreyVita (“GreyVita,” “we,” “our,” or “us”).
By accessing the Site, placing an order, or purchasing products from GreyVita, you acknowledge that you have read, understood, and agree to these Terms.
If you do not agree to these Terms, you must not access the Site or purchase GreyVita products.
1. RESEARCH USE ONLY
Unless expressly stated otherwise, products offered by GreyVita are sold strictly for lawful laboratory, analytical, educational, and research purposes only.
Research products sold by GreyVita are NOT FOR HUMAN OR VETERINARY USE, CONSUMPTION, OR ADMINISTRATION.
Unless expressly identified otherwise, research products offered by GreyVita are not intended to be drugs, foods, dietary supplements, cosmetics, medical devices, or veterinary products and are not offered for purposes of diagnosing, treating, curing, mitigating, or preventing disease.
The designation “Research Use Only” is a restriction on the permitted purpose for which GreyVita offers and sells the applicable product.
By purchasing a research product, the purchaser represents and warrants that:
the purchaser is legally permitted and sufficiently qualified to acquire and handle the material;
the product is being acquired for a lawful research purpose;
the purchaser will comply with all applicable federal, state, and local laws and regulations;
the purchaser will not use the product for human or veterinary administration or consumption; and
the purchaser accepts responsibility for the proper storage, handling, experimentation, disposal, and use of the material.
GreyVita reserves the right to refuse or cancel an order when we reasonably believe a product may be purchased or used for an unlawful or prohibited purpose.
2. NO MEDICAL ADVICE
GreyVita does not provide medical advice.
Nothing contained on the Site or communicated by GreyVita through product descriptions, labels, packaging, certificates of analysis, laboratory information, email, text message, social media, customer service, or any other communication constitutes medical advice, diagnosis, treatment advice, prescribing, dosing advice, or healthcare guidance.
GreyVita is not a physician, healthcare provider, pharmacy, compounding pharmacy, medical practice, veterinarian, or veterinary pharmacy.
Purchasing a GreyVita product or communicating with GreyVita does not create a physician-patient, pharmacist-patient, veterinarian-client-patient, or other professional healthcare relationship.
GreyVita personnel are not authorized to provide instructions concerning human or animal dosing, injection, ingestion, administration, treatment, therapeutic use, or expected physiological effects.
General information regarding laboratory research, product characteristics, analytical testing, storage, or handling must not be interpreted as medical advice or authorization for human or veterinary use.
3. PURCHASER RESPONSIBILITY
Purchasers are solely responsible for determining whether a product is appropriate for their intended lawful research application.
The purchaser assumes responsibility for possessing the knowledge, facilities, equipment, procedures, and safeguards necessary to handle research materials appropriately.
GreyVita does not supervise the purchaser's research and cannot verify the conditions under which a product is stored, handled, prepared, transferred, mixed, tested, or otherwise manipulated after delivery.
The purchaser accepts all responsibility for complying with applicable laws and appropriate laboratory safety practices.
4. STORAGE, HANDLING & RECONSTITUTION
Research products may require specialized storage, handling, preparation, or reconstitution procedures.
The purchaser is solely responsible for establishing, verifying, and following an appropriate laboratory protocol.
GreyVita is not responsible for errors involving or arising from:
incorrect solvent selection;
insufficient or excessive solvent volume;
inappropriate concentration;
improper storage;
temperature conditions after delivery;
contamination;
improper laboratory technique;
excessive or inappropriate agitation;
repeated vial access;
transfer between containers;
use of inappropriate laboratory materials or equipment; or
any other manipulation occurring after delivery.
Depending upon the material, concentration, solvent, temperature, handling conditions, and other variables, research materials may exhibit incomplete dissolution, precipitation, aggregation, crystallization, cloudiness, clumping, viscosity changes, discoloration, or other observable changes.
The occurrence of such a condition following reconstitution or manipulation does not, standing alone, establish that the product was defective when delivered.
GreyVita does not warrant the outcome of a purchaser's particular reconstitution method, solvent selection, concentration, experimental procedure, or research protocol.
5. OPENED, RECONSTITUTED OR ALTERED PRODUCTS
Once a research product has been opened, punctured, reconstituted, mixed, transferred, contaminated, altered, improperly stored, or otherwise manipulated after delivery, GreyVita can no longer verify the conditions affecting that product.
Accordingly, opened, punctured, reconstituted, mixed, or otherwise manipulated products are not eligible for return, refund, or replacement based solely upon a subsequent change in appearance, dissolution, consistency, or other physical characteristic, except where required by applicable law or expressly authorized by GreyVita in writing.
GreyVita may request photographs, video, lot information, storage information, packaging, or other documentation when investigating a product-quality complaint.
Customers must not discard a product that is the subject of an active quality claim until GreyVita advises that it may be discarded.
6. PRODUCT INFORMATION, TESTING & CERTIFICATES OF ANALYSIS
Product information and analytical documentation supplied by GreyVita are provided for research and informational purposes.
Where a Certificate of Analysis (“COA”) or other analytical result is supplied, it represents the testing and information associated with the identified sample, lot, or batch and does not constitute FDA approval or a representation that the product is appropriate for human or veterinary use.
Minor variations in appearance, cake structure, fill appearance, packaging, or other non-material characteristics do not necessarily constitute a product defect.
GreyVita does not make therapeutic or medical claims regarding research products.
7. SHIPPING & DELIVERY
Customers are responsible for providing a complete and accurate shipping address.
GreyVita is not responsible for delivery failures or additional expenses caused by an incorrect or incomplete address supplied by the customer.
Once an order has been properly packaged and tendered to a third-party carrier, transportation and delivery are subject to circumstances outside GreyVita's direct control.
To the fullest extent permitted by applicable law, GreyVita is not responsible for carrier delays, weather delays, routing errors, service interruptions, theft following confirmed delivery, failure by the recipient to retrieve a shipment promptly, or other carrier-related events outside GreyVita's reasonable control.
Temperature exposure during ordinary transportation does not automatically establish that a research product is damaged, degraded, or defective.
A customer's belief that a shipment became too warm or cold during transportation, without additional evidence demonstrating a product-quality failure, does not by itself establish eligibility for replacement or refund.
Nothing in this section eliminates any rights that cannot legally be waived under applicable law.
8. LOST, DAMAGED, MISSING OR INCORRECT SHIPMENTS
Claims concerning an incorrect product, missing item, visible shipping damage, broken vial, compromised container, or other fulfillment problem must be reported to GreyVita within 48 hours of confirmed delivery.
Customers should provide:
the order number;
photographs of the shipping package;
photographs of the shipping label;
photographs of the product and packaging;
the product lot or batch number where applicable; and
a description of the problem.
Customers must retain the affected product and original packaging while a claim is under review.
GreyVita will review properly documented claims and determine an appropriate remedy, if any, subject to these Terms and applicable law.
GreyVita may require a customer to cooperate with a carrier investigation involving a lost, damaged, or misdelivered shipment.
9. FINAL SALES, REFUNDS & REPLACEMENTS
Except where otherwise expressly stated or required by applicable law, all sales of research products are final.
GreyVita does not accept returns of research materials because the storage, handling, environmental conditions, chain of custody, and integrity of a product cannot be verified after delivery.
A refund or replacement will not ordinarily be provided for:
purchaser handling or storage errors;
reconstitution errors;
incorrect solvent or solvent volume;
incomplete dissolution following purchaser manipulation;
clumping, precipitation, crystallization, cloudiness, or viscosity changes occurring following reconstitution;
accidental damage occurring after delivery;
purchaser dissatisfaction with an experimental result;
failure of a purchaser's particular research protocol; or
circumstances otherwise outside GreyVita's reasonable control.
Nothing in this provision limits remedies that cannot lawfully be excluded.
10. COURTESY REPLACEMENTS
GreyVita may, at its sole discretion, provide a refund, credit, replacement, reshipment, additional product, shipping accommodation, or other resolution as a customer-service courtesy even where the customer would not otherwise qualify for a remedy under these Terms.
Such an accommodation:
does not constitute an admission that the original product was defective;
does not establish that GreyVita caused the reported problem;
does not waive these Terms;
does not create an obligation to provide another replacement or accommodation in the future; and
does not establish a precedent applicable to another customer or transaction.
Unless GreyVita expressly agrees otherwise in writing, a courtesy replacement is a one-time discretionary accommodation.
GreyVita may determine the appropriate form, quantity, product configuration, shipping method, credit, or other accommodation offered to resolve a customer-service matter.
11. PROHIBITED USES
Customers may not purchase or use GreyVita research products:
for human administration or consumption;
for veterinary administration or consumption;
to diagnose, treat, cure, mitigate, or prevent disease;
in violation of federal, state, or local law;
for resale represented as a drug, medication, dietary supplement, cosmetic, food, or other regulated consumer product;
using false or misleading purchaser information; or
for any purpose inconsistent with the research-only conditions under which the applicable product is offered.
GreyVita may cancel an order, terminate an account, refuse service, or prohibit future purchases where GreyVita reasonably believes these restrictions have been violated.
12. RIGHT TO REFUSE SERVICE
GreyVita reserves the right, to the extent permitted by law, to refuse or cancel an order or discontinue a customer relationship.
This may include circumstances involving suspected prohibited use, fraud, payment disputes, repeated unsupported product claims, abusive or threatening conduct, harassment of GreyVita personnel, attempts to circumvent purchasing restrictions, or repeated failure to comply with these Terms.
GreyVita is under no obligation to continue selling products to any particular customer.
Customers who have been notified that GreyVita will no longer accept their orders may not circumvent that restriction by using another account, identity, payment method, recipient, or shipping address.
13. CUSTOMER COMMUNICATIONS
Customer-service communications should be conducted through GreyVita's designated business communication channels.
Customers may not harass, threaten, intimidate, or repeatedly contact GreyVita employees, owners, contractors, or representatives through personal telephone numbers, personal social-media accounts, personal email addresses, or other private communication channels after being instructed to use GreyVita's designated business contact method.
GreyVita may terminate communications or customer relationships involving abusive, threatening, excessive, or inappropriate conduct.
14. ASSUMPTION OF RISK & DISCLAIMER OF WARRANTIES
Research materials inherently require appropriate technical knowledge and laboratory controls.
To the fullest extent permitted by law, products and services are provided “AS IS” and “AS AVAILABLE,” except for any express warranty specifically provided by GreyVita in writing.
GreyVita disclaims implied warranties to the extent such warranties may lawfully be disclaimed, including implied warranties of merchantability and fitness for a particular purpose.
The purchaser assumes the risks associated with the storage, handling and lawful research use of products after delivery.
15. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GREYVITA AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE PURCHASE, STORAGE, HANDLING, MISUSE, OR USE OF A PRODUCT.
Where permitted by law, GreyVita's aggregate liability arising from a particular transaction shall not exceed the amount actually paid to GreyVita for the product giving rise to the claim.
These limitations do not apply to liability that applicable law prohibits GreyVita from limiting or excluding.
16. INDEMNIFICATION
To the extent permitted by applicable law, the purchaser agrees to defend, indemnify, and hold harmless GreyVita and its owners, members, managers, employees, contractors, affiliates, and agents from third-party claims, damages, losses, liabilities, and reasonable expenses arising from the purchaser's unlawful use, prohibited use, resale, mishandling, misrepresentation, or violation of these Terms.
17. PAYMENTS & CHARGEBACKS
Customers agree to provide accurate payment, billing, and order information.
If a customer believes a billing or fulfillment error has occurred, the customer should first contact GreyVita through its designated customer-service channel so the matter can be investigated.
Nothing in these Terms prevents a customer from exercising legitimate rights provided by a card issuer, financial institution, payment service, or applicable law.
However, knowingly making false statements, materially misrepresenting delivery or transaction facts, or submitting fraudulent payment disputes may result in termination of the customer relationship and refusal of future orders.
18. WEBSITE CONTENT
GreyVita's name, logos, original photographs, graphics, product photography, and original website content may not be commercially copied, reproduced, or represented as another business's content without authorization.
That's all the IP section I think you need.
19. APPLICABLE LAW & COMPLIANCE
Purchasers are responsible for compliance with all applicable United States federal, state, and local laws and regulations relating to their acquisition, possession, handling, storage, research, and disposal of products.
GreyVita conducts business in Oklahoma and Florida and intends these Terms to operate consistently with applicable federal law and applicable state law.
The final choice-of-law, venue, arbitration, and dispute-resolution provisions should be completed following review by GreyVita's attorney based upon the identity and principal location of the legal entity contracting with customers.
I deliberately would not invent an Oklahoma/Florida hybrid governing-law clause here. Your existing agreement currently contains a lengthy generic legal structure that doesn't reflect what you've described about the actual business.
20. SEVERABILITY & ENTIRE AGREEMENT
If any provision of these Terms is determined to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law or severed as appropriate, and the remaining provisions shall remain in effect.
These Terms, together with any policies expressly incorporated into them, constitute the agreement between the customer and GreyVita concerning purchases made subject to these Terms.
21. CHANGES TO THESE TERMS
GreyVita may revise these Terms periodically to reflect changes in business practices, applicable law, or regulatory requirements.
The version posted at the time an order is placed will generally govern that transaction unless applicable law requires otherwise.
